1. Who we are and what these Terms cover

These Terms & Conditions ("Terms") govern your use of this website and your purchase and use ofThe DM Close Vault and any related digital products (together, the "Products"). By accessing this website or completing a purchase, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, Refund Policy, and Disclaimer. If you do not agree, please do not use this website or purchase the Products.

2. Merchant of record and billing descriptor

PBRANDS Sp. z o.o. is the merchant of record for all purchases made on this website. Payments are handled by PCI-compliant third-party payment processors (such as Stripe); we never see or store your full card number. The charge on your bank or card statement will appear as PBRANDS. If you don't recognize a charge, contact us at [email protected] before disputing it — we resolve billing questions quickly.

3. The Products

The Products are digital goods (scripts, templates, playbooks, and related training materials) delivered electronically. Access details are sent to the email address you provide at checkout, typically within minutes of purchase. Nothing physical is shipped. If your access email doesn't arrive, check your spam folder and then contact us — we'll sort it out.

4. Eligibility

The Products are intended for business use by adults. You must be at least 18 years old (or the age of majority where you live) and able to enter a binding contract to purchase. You agree to provide accurate, current information at checkout.

5. Pricing and payment

The price displayed at checkout is the price you pay. Unless expressly stated otherwise, purchases are one-time payments — no subscription, no recurring charges. Prices may change over time (for example, a founding price that later increases); price changes never affect purchases you have already made. Where required by law, VAT or other applicable taxes are calculated and shown at checkout based on your location.

6. Refunds and your right of withdrawal

Every purchase is covered by our 30-day money-back guarantee: email us within 30 days of purchase and we refund you in full. The full details — including the statutory 14-day right of withdrawal for EU/UK consumers and how it interacts with the immediate delivery of digital content — are in our Refund Policy, which forms part of these Terms.

7. License and intellectual property

When you purchase the Products, we grant you a personal, non-exclusive, non-transferable license to use them in your own business — including using and adapting the scripts and templates in your own sales conversations. That is exactly what they're for.

What the license does not allow:

• Re-selling, sub-licensing, sharing, or giving away the Products or your access to them;
• Publishing or redistributing the materials (in whole or substantial part), publicly or privately;
• Using the materials to create competing products, courses, or trainings;
• Removing or altering copyright, trademark, or attribution notices.

All Products, this website, and their content are protected by copyright and other intellectual-property laws and remain our property. "Sell with Leverage" and "The DM Close Vault" are trademarks of PBRANDS Sp. z o.o. We actively enforce our rights, and unauthorized distribution voids the refund guarantee in addition to any other remedies available to us.

8. Acceptable use

You agree not to use this website or the Products for any unlawful purpose; to attempt to gain unauthorized access to our systems; to interfere with the website's operation; or to scrape, harvest, or copy content at scale. You are solely responsible for how you use the scripts in your own conversations, including complying with the laws and platform rules that apply to you (for example, anti-spam laws and the terms of the messaging platforms you use).

9. Educational purposes; no guarantee of results

The Products are education and training. They are not financial, legal, tax, or investment advice, and we make no guarantee that you will achieve any particular result or earn any money. 10. Communications

By purchasing, you agree to receive transactional emails (receipts, access details, important service notices). With your consent where required, we may also send marketing emails about related products and training; every marketing email includes a working unsubscribe link, and opting out never affects your access to what you bought.

11. Third-party tools, platforms, and links

The Products may reference or link to third-party tools and platforms (for example, Instagram, WhatsApp, ManyChat, or spreadsheet software). We don't control them, aren't responsible for them, and your use of them is governed by their own terms and policies. References are not endorsements, and this website is not affiliated with or endorsed by any messaging or social-media platform.

12. Disclaimer of warranties

To the maximum extent permitted by applicable law, this website and the Products are provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. Nothing in these Terms limits or excludes warranties or rights that applicable consumer-protection law does not allow to be limited or excluded — including the statutory conformity rights of EU consumers for digital content.

13. Limitation of liability

To the maximum extent permitted by applicable law: (a) we are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, revenue, or data; and (b) our total aggregate liability arising out of or relating to the Products or these Terms is limited to the amount you actually paid us for the Product giving rise to the claim. Nothing in these Terms excludes or limits liability for intentional misconduct, gross negligence, or any liability that cannot be excluded by law.

14. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and reasonable costs (including legal fees) arising out of your breach of these Terms or your unlawful use of the Products, except to the extent caused by our own breach or fault.

16. Service interruptions and force majeure

We aim to keep the website and Product access available at all times, but we are not liable for temporary interruptions caused by maintenance, third-party providers, or events beyond our reasonable control. If you ever lose access to something you purchased, contact us and we will restore it.

17. Changes to these Terms

We may update these Terms from time to time. The version in force when you make a purchase is the version that applies to that purchase. Material changes will be posted on this page with an updated "last updated" date.

18. Severability and waiver

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce any provision is not a waiver of it.

19. Governing law

These Terms are governed by the laws of Poland. If you are a consumer, you additionally benefit from any mandatory consumer-protection provisions of the law of the country where you reside — nothing in these Terms takes those away.
